Theler

SEPTEMBER 30,
2005 - American Marine Bank and the beneficiaries of the Samuel
B. Theler Trust are pleased to announce that they have amicably
settled the recent dispute involving the trust. All involved parties
participated in a two day mediation on September 22nd and 23rd.
The Theler
Trust was established under the will of Samuel B. Theler in 1968.
The beneficiaries of the Theler Trust are the North Mason School
District, and Boy Scout and Girl Scout troops in the North Mason
County area. The North Mason School District distributes its share
of the trust benefits to the Mary E. Theler Community Center.
Earlier this
year, the Trustee took steps to sell two of the Trust's five real
estate parcels in order to diversify, and raise funds for, the Trust.
On June 30, 2005 a lawsuit was filed in Mason County Superior Court
by the Mary E. Theler Community Center and Boy Scout Troop 1520.
The Court was asked to temporarily restrain the Trustee from selling
these properties. A first Amended Petition was filed on July 18,
2005 to remove the Trustee. These actions led to the September mediation
and settlement.
With the participation
of the office of the Attorney General, the Beneficiaries of the
Theler Trust, the Mary E. Theler Community Center, and American
Marine Bank reached an amicable settlement of all outstanding issues
on September 23rd. All parties concluded that it was in the best
interest of the children and citizens of the community to resolve
the litigation without further court intervention.
Among other
points acknowledged in the settlement document, it was agreed that:

- The parties
have legitimate and justifiable differences of opinion on issues
relating to the management of the trust and the steps that should
be taken to resolve them.
- The Attorney
General's involvement in the litigation does not imply wrongdoing
by the Bank as Trustee. Nor was there any criminal or civil investigation
of the Bank performed by the Attorney General on any matter relating
to the Theler Trust.
- The Attorney
General believes that there are legitimate concerns regarding
over-concentration of assets, and that diversification of a Trust's
asset base is generally desirable. In this instance, the Attorney
General defers to the preference of the Beneficiaries regarding
the Trust's present asset allocation, without endorsing that preference.
The Settlement
Agreement is a matter of public record and will be filed with the
Superior Court of Mason County along with a Stipulated Order of
Dismissal of all claims.

ISLAND - SEPTEMBER 2, 2005 - A bank account has been established
at American Marine Bank by the Red Cross under the name of "Gulf
Coast Relief" for the purpose of hurricane Katrina relief. Funds
collected under this account are tax deductible and will go directly
to the American Red Cross to provide shelter, food, counseling and
other assistance to those in need.
The Red Cross
is operating more than 250 shelters across seven states, providing
a safe haven for nearly 42,000 evacuees - many who have been left
homeless by Katrina. The first priority is meeting the urgent, critical
needs of these people, which include providing emergency shelter,
food and water.

welcome Steve Touger. Steve will represent American Marine Bank
as Vice President in Commercial Real Estate Lending offering a variety
of acquisition, construction and term loan alternatives. He will
work from the Home Office on Bainbridge Island.
Steve's career
ranges over 25 years in Commercial Real Estate Lending and Banking.
Starting out at Seafirst's Head Office Branch, Steve worked as a
cashflow and workout analyst when the bank was acquired by Bank
of America. Steve decided to specialize in commercial real estate
and joined Seattle Trust's commercial real estate lending group
through its acquisition by Key Bank. Steve shifted to Rainer Bank
where he was involved in the formation of a commercial real estate
adjustable rate mortgage term-loan program while underwriting a
variety of commercial real estate construction and rehab loans.
Steve remained with Rainier through its acquisition by Security
Pacific Bank and Bank of America.
Steve then
shifted to the term-lending side of commercial real estate at MetLife
Capital where he was the Assistant Manager of the national real
estate lending program. Steve was the northwest states loan representative
for Bank of America's securitized commercial real estate lending
program and co-formed a national lending program for Fremont bank.
In recent years, Steve has mostly worked independently on contracts
in a variety of commercial real estate related projects such as:
a dot-com venture specializing in on-line lending programs, analysis
of a potential wholesale program for the Federal Home Loan Bank,
a lending system review for a mid-west banking group, and underwriting
securitized commercial real estate loans for a national lending
program at Artesia.
Raised outside
Philadelphia, Steve attended the Settlement School of Music, followed
by studies at the Hartt School of Music at the University of Hartford.
After starting his career in banking, Steve completed the commercial
lending diploma program with the American Institute of Banking and
the CCIM Institute designation course-work including commercial
real estate investment analysis and marketing.

PORT TOWNSEND
- MAY 23, 2005 - American Marine Bank staff spent time teaching
graduating seniors at Quilcene High School the basics of banking
on Monday, May 23rd. Ryan Anderson, Port Townsend Branch Manager,
and Mandy Smith, Sales Associate and a QHC alumni met with the entire
senior class. The presentation included basic concepts of banking
as well as the importance of establishing good credit. "It was an
amazing experience; the kids were great and seemed to really grasp
what we were teaching," said Anderson. "It's important for us to
be active in our community and we looks for ways to educate on what
we do best." The kids enjoyed a "Jeopardy" inspired game that taught
financial principles as well as an opportunity to walk away with
some great prizes.

that it will open its Port Townsend Safeway in-store office on March
31, 2005. Port Townsend is the fourth in-store office to open for
American Marine Bank since November of last year. The Sequim office
opened in November of 2004, the Port Angeles office opened in December
of 2004 and the Belfair office opened in February of 2005.
"We're
thrilled to open in the Port Townsend Safeway store," said
Ryan Anderson, Branch Sales Manager. "Our office will be open

of serving the Port Ludlow community the week of January 24-28th.
The week-long celebration includes customer appreciation offers

- JANUARY 18, 2005 - American Marine Bank and the Port Angeles Chamber
of Commerce held a ribbon cutting ceremony for their new banking
office in the Port Angeles Safeway on Tuesday, January 18th. American
Marine Bank staff and Chamber members were present to celebrate
the opening.
Donna Davidson,
Senior Vice President of Community Banking for American Marine Bank
kicked off the ribbon-cutting ceremony. "American Marine Bank has
been serving communities for over 56 years now and we're proud of
our growth," said Davidson. "We now have 9 banking and 2 lending
offices located throughout Kitsap County and the Olympic Peninsula
as well as downtown Seattle. This is the second of 4 new Safeway
in-store offices we're opening. Sequim opened on December 17th;
Belfair and Port Townsend are set to open in the 1st quarter of
2005."

Tsunami Relief Fund Established at American Marine Bank |

- JANUARY 3, 2005 - A bank account has been established under the
name of "Coins That Care" for the purpose of tsunami relief. The
idea for the fund was the brainchild of Suellen Cunningham, a Bainbridge
resident who felt compelled to help. Suellen thought that people
could use the money from their change jars to help contribute to
the fund. Bill Reddy, director of the Housing Resources Board and
Nancy Quitslund, Bainbridge Ometepe Sisters Island Association shared
a similar vision and stepped in to help with the logistics of the
account and fund drive. American Marine Bank helped to open the
account and has committed to make a sizeable contribution as well.
Funds collected
under this account will be distributed to 3 organizations, 1) UNICEF
- the leading advocate for children's rights and healthcare needs,
active in 158 countries and territories around the world; 2) Oxfam
- a relief organization that works with others to find lasting solutions
to poverty and suffering; and 3) Doctors without Borders - which
delivers emergency aid to victims of armed conflict, epidemics,
and natural and man-made disasters, and to others who lack health
care due to social or geographical isolation.
