AMB Financial Services Corporation To Acquire Silverdale State Bank in Non-Merger

AMB Financial Services Corporation, the holding company for American Marine Bank, announced today that it has reached a definite agreement to acquire Silverdale State Bank located in Silverdale, Washington. The agreement has been unanimously approved by the boards of directors of both companies and is subject to the approval of shareholders of Silverdale State Bank and appropriate regulatory agencies. AMB anticipates that the transaction may be completed as early as the first quarter of 2000.

Upon completion of the transaction, Silverdale State Bank will remain a separate, state-chartered commercial bank with its own senior management and board of directors. Silverdale State remains the only financial institution headquartered in Silverdale, and on Christmas Eve, the bank and its customers will be celebrating the 80th anniversary of the bank’s December 24, 1919 charter.

Bek Ashby, Silverdale State Bank’s current president and CEO, who will continue in that capacity, state, "We are excited about this partnership with AMB Financial Services Corporation which will provide us with the additional resources necessary to compete in the years to come."

AMB Financial Services Corporation has assets of $198 million and is the parent of American Marine Bank, which operates two banking offices on Bainbridge Island, as well as offices in Poulsbo and Seattle. AMB began operations on September 17, 1948 as Bainbridge Island Bank, and will be opening its fifth office in Port Ludlow, Washington during January 2000.

American Marine Bank Announces Staff Change

Rex Townsend, President and CEO of American Marine Bank, announced that Doug Stephenson, has been named Manager of AMB’s Seattle Professional Banking Office located at 1000 Second Avenue, Suite 200.

Stephenson, Vice President and Commercial Lending Officer has been with AMB for 5 years. He will bring AMB’s quality customer service to Seattle professional and business customers, including those who commute to Seattle.

Stephenson is a graduate of Azusa Pacific University. He resides on Bainbridge Island with his wife Alyson and three children.

 

   
American Marine Bank Announces Staff Changes

Rex Townsend, President and CEO of American Marine Bank announced the following management moves.

Donna Casper, Manager of the Poulsbo Office has accepted the exciting challenge of Manager of the new Port Ludlow Office currently under construction. Casper has been with AMB since 1979 and has managed the Poulsbo Office since it opened in 1995. Casper, long-time Poulsbo resident, is an active Rotary member.

Kristin Marshall, Operations Manager of the Seattle Office has accepted the position of Manager of the Poulsbo Office. Marshall, a Montana native and Bainbridge Island Resident since 1989, has been in banking since 1973.

Katie Lamping has been promoted to the position of Operations Officer of the

Professional Banking Office of American Marine Bank in Seattle. Lamping began her career at American Marine Bank in 1993 during her summer college vacation. Lamping, a Bainbridge Island native, is a 1996 graduate of University of the Pacific

American Marine Bank Opens Port Ludlow Office

Rex Townsend, President and CEO of American Marine Bank announced Tuesday 10/26/99 that AMB is opening a full service banking office at 9500 Oak Bay Road in Port Ludlow. The new office will also feature drive-up banking and an ATM machine.
 

   
American Marine Bank Opens Seattle Office

Rex Townsend, President and CEO of American Marine Bank announced the opening of the Bank’s new Professional Banking Office at 1000 Second Avenue, Suite 200. The office will bring AMB’s quality customer service to Seattle professional and business customers including those who commute to Seattle. The bank has made a renewed commitment to business and consumer lending which has increased the Loan Portfolio in excess of $100Million for the first time in the history of the bank. Operations Manager Kristin Marshall and her staff will be open for business from 9 to 5 beginning Wednesday May 19th.
 

   
American Marine Bank Loan Volume Increase

President Rex Townsend announced that the loan portfolio of American Marine Bank has exceeded $100Million for the first time in the bank’s fifty-year history. Senior Vice President Gary Winter is leading the bank’s renewed commitment to business and consumer lending while Vice President Jim Arthur is reinvigorating the bank’s real estate lending.
 

   
Neil Storey Joins American Marine Bank

President Rex Townsend has announced that Neil Storey has joined the staff of American Maine Bank as Vice President and Commercial Loan Officer.

Storey will be concentrating on serving customers in the North Kitsap Area.

Storey brings 30 years experience in all aspects of business banking to American Marine Bank. Storey is a graduate of the University of Washington and the Pacific Coast Banking School.

Storey and his wife Margaret, a teacher in the Central Kitsap School District, have resided in Poulsbo for 29 years. They have two grown children.

 

   
Andy Mueller Joins American Marine Bank Board

The Board of Directors of AMB Financial Services Corporation and American Marine Bank, its subsidiary, at their December 17, 1998 board meeting, appointed Andy Mueller to fulfill the term of retiring director Robert Rodal.

A builder in the Puget Sound Region for over 23 years, Mueller supports his community and the building industry through his service in various community organizations. Andy has volunteered countless hours on many boards and gained recognition for his efforts supporting reasonable regulatory controls.

Mueller and his wife Connie reside on Bainbridge Island. They have two grown daughters.

 

   
Jim Arthur Joins American Marine Bank

President Rex Townsend has announced that Jim Arthur has joined the staff of American

Marine Bank as Vice President and Manager of the Real Estate Loan Department located at the main office in Winslow.

Bringing 26 years of real estate lending experience to American Marine Bank, Jim most recently managed an 18 member mortgage staff of a community bank that covered four counties. Jim received recognition by the Independent Bankers’ Association of America as the Nations’ Top Producer of mortgage loans in 1995, 1996 and 1997. He earned his B.A. from Wichita State University and his M.B.A. from the University of Washington.

Jim and his wife Liz, an elementary school teacher, plan to move to the Kitsap County Area.
